1. Site Definitions

   1. Anyone who uses the site in any way, including accessing, browsing, crawling and scraping is a “user”.

Any form of data or communication that comes through our site, including images, text, photos, video and audio, will be referred to as “content.” Content submitted by you through the site, including ratings, reviews, compliments, invitations and other information will be referred to as “Your Content.” Content submitted by users of the site will be referred to as “User Content.” “DailyLife Content” will mean any content created and made available on the site. Content made available on the site through parties other than DailyLife or its users will be referred to as “Third Party Content.” This includes data providers that license data to us for use on DailyLife. 2. Site Eligibility

To be eligible to use DailyLife.com, you must be a resident of the United States and at least 18 years of age. If you do not meet these requirements, you are prohibited from using the Site. You must be an authorized representative of your company, entity or organization, with the authority to bind it to these terms of service, to use the site on behalf of your company, entity or organization.

1. Changes to Terms of Service

From time to time, modifications may be made to the Terms of Service. You will be notified by the posting of a revised version on this page, which will include an indication at the top of the page with the date the revisions were made. Please revisit these Terms of Service on a regular basis, because any revisions will be binding on you by your use of the site and revisions will be effective upon posting. Your continued use of the site constitutes your acceptance of the changes.

1. DailyLife User Accounts

In order to access several of this site’s features, you will be required to create an account on Facebook.com and login using your Facebook account. It is your responsibility to maintain the confidentiality of the password to your Facebook account. All actions that occur which are connected to your Facebook account are also your responsibility. You agree that you will notify us immediately with regard to any unauthorized use of your account. DailyLife reserves the right to close your account for any or no reason at any time. There are two types of accounts:

   1. A “Personal Account” is used for your non-commercial, personal use only. We ask that in your creation of a personal account, you please provide accurate and complete information about yourself, as this will bolster your credibility as a contributor to the site. You may never impersonate anyone else, such as adapting the identity of a celebrity or even your neighbor. You may also not provide an email address that is not your own or create multiple personal accounts.

   2. An account used for the sole purpose of representing a business on the site is a “Business Account.” To create a “Business Account,” you must have a Facebook account and be an authorized representative of the business. You must also provide complete and accurate information about the business and yourself. You may not provide an email address other than your own or create multiple Business Accounts for the same business.
      
      
      

2. Site Use

You are granted permission to use the site under the guidelines listed in these Terms of Service. In using DailyLife, it is possible that you could be exposed to offensive, indecent, inaccurate, objectionable or otherwise inappropriate content. This content is not endorsed by DailyLife, and we cannot vouch for its accuracy.

You are in agreement that you will not and will not help or enable others to:

   1. use DailyLife in a matter that threatens, stalks, defrauds, incites, harasses or advocates the harassment of someone else, or interfere with another person’s use of the site in any way;

   2. use this site for the purpose of promotion or other commercial purposes, unless expressly allowed in writing by DailyLife;

   3. use DailyLife in any way that creates a conflict of interest. This includes trading content with other businesses;

   4. use this site for the purpose of keyword spamming or otherwise making attempts to manipulate search results;

   5. use this site for the purpose of promoting discrimination or bigotry against protected classes;

   6. use this site in a manner that violates any third-party rights, which includes breach of confidence, trademark, patent, copyright, trade secret, moral right, right of publicity, privacy right or any other intellectual property or proprietary right;

   7. use DailyLife as a means to transmit pornographic or illegal content;

   8. use this site for the purpose of soliciting personal information from minors or to do harm or threaten to cause harm to minors;

   9. use DailyLife in a way that violates these Terms of Service or any applicable law;

   10. exploit the site or Site Content (not including Your Content) in any way, including modifying, adapting, appropriating, reproducing, distributing, translating, creating derivative works or adaptations of, publicly displaying, selling or trading;

   11. reverse engineer any portion of the Site, except as permitted by law;

   12. modify or remove any copyright, trademark or other proprietary rights notices on the Site or on any materials copied or printed from it;

   13. mine, record or process information about site users in any way;

   14. make use of any site search/retrieval application or other automated devices, including robots or spiders, in order to access, retrieve, scrape or index this site or its content;

   15. index, access or retrieve this site for the purpose of creating or populating a database of content similar to that offered on DailyLife;

   16. frame or reformat any portion of DailyLife;

   17. take actions that impose or may impose, based on our discretion, a disproportionately or unreasonably large load on our technology infrastructure;

   18. Use hacking, password mining or any other means to gain unauthorized access to DailyLife, its user accounts, computer systems or networks; use this site as a means of transmitting computer worms, viruses, Trojan horses or any other destructive items (collectively “Viruses”); interfere with the proper working of the site in any way, including the use of devices, software or routines; make traffic demands that are deemed excessive, violate any computer network’s security by use of the Site, including cracking passwords or encrypted security codes; cause harm to the Site or Site Content by interfering with security measures; remove, circumvent, disable, damage or otherwise interfere with any security-related features of the Site, such features that prevent or restrict the use or copying of Site Content, or features that enforce limitations on Site use.
       
       
       

2. Your Content Permission

Your Content may be used in a number of different ways on DailyLife. We may use it for display purposes, reformat it, incorporate it into other works, create derivative works from it, promote it, distribute it and allow others to do the same in conjunction with their websites and other media platforms (“Other Media”). You grant us irrevocable permission to use Your Content for any purpose. You also grant DailyLife and users of any Other Media the right to access Your Content in connection with their use of DailyLife and any Other Media. You irrevocably waive, and cause to be waived, any assertions or claims of moral rights or attribution to Your Content.

1. Your Content Responsibility

Your Content is your responsibility. All risks associated with Your Content are assumed by you, including the reliance on accuracy, completeness or usefulness, or anything disclosed in Your Content that may personally identify you. You represent that you are the owner of, or possess the necessary permissions that allow you to use, or authorize the use of, Your Content. In no way may you imply that Your Cotnent is sponsored or endorsed by DailyLife.

If Your Content violates any third-party right, which includes copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity or any other intellectual property or proprietary right; if Your Content contains defamatory, false or intentionally misleading information; if Your Content contains unlawful material, which includes hate speech or pornography; if Your Content exploits or otherwise harms minors or violates or advocates the violation of any law or regulation, you may be exposed to liability.

1. Content Use

User Content may be removed or reinstated from time to time at our discretion. As an example, content may be removed if it is believed to be inappropriate or violates our Terms of Service. We are under no obligation to retain Your Content or provide you copies of it. No confidentiality is guaranteed with respect to Your Content. Advertisements or other information may be displayed adjacent to or included with Your Content on DailyLife or Other Media by DailyLife or other licensees. This does not entitle you to any compensation, and the mode and extent of such advertising are subject to change without notice.

1. Content Feeds

Some of the Site Content on DailyLife (the “Feed Content”) is made available through Real Simple Syndication (RSS) and Atom feeds (the “Feeds”). You may access and use these Feeds in order to display the Feed Content on your computer, website or blog, as long as (a) you use the Feeds for personal, non-commercial use only, (b) how you display the Feeds links back to the appropriate pages on DailyLife and attributes it as the content source, (c) you do not suggest through the display or use of the Feed Content that DailyLife promotes or endorses third-party causes, ideas, sites, products or services, (d) Feed Content is not redistributed, and (f) DailyLife’s systems are not overburdened by your use of the Feeds. DailyLife reserves all rights in the Feed Content and may terminate the Feeds at any time.

1. Availability of the Site

The right to modify, update or discontinue the Site at any time, for any or no reason and without notice or liability, is reserved by us and at our sole discretion.

1. Prevention of Unauthorized Access

In order to prevent unauthorized access to or use of DailyLife, which includes but is not limited to technological barriers, IP mapping and contacting your Internet Service Provider, we reserve the right to exercise any lawful means necessary.

We are not obligated to monitor the Site or the Site Content in any way. We do, however, reserve the right to investigate anything that is deemed to be in violation of the Terms of Service, block users from accessing the Site and refer necessary matters to the appropriate law enforcement authorities. Information may be disclosed to third-parties, including Your Content, in order to comply with the Privacy Policy, listed here.

1. Feedback

   1. Dissatisfaction. If you are not happy with the site in any way, please let us know using our contact us page. The only other way for you to remedy any complaints with (i) the Site, (ii) our Terms of Service, (iii) any policy or practice of DailyLife in site operation or (iv) any information or content transmitted through DailyLife is to terminate your account.

   2. Suggestions and Improvements. By providing us with your ideas, suggestions, documents or proposals (“Feedback”), you are in agreement that (i) your Feedback does not contain information that is confidential or the property of third parties, (ii) DailyLife has no obligation of confidentiality, express or implied, in regards to the Feedback, (iii) similar Feedback may already be under consideration or in development and (iv) we are granted an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.
      
      
      

2. Termination

Your account or ability to use the Site may be terminated or suspended, in whole or part, for any or no reason, at our sole discretion and without notice or liability of any kind. For example, if you are deemed to have breached the Terms of Service or may be suspected of involvement in illegal activity, your account may be terminated or suspended. As a result of such termination or suspension, you may not have access to your account, the Site, Your Content, Site Content or any related information.

All DailyLife content, including but not limited to visual interfaces, interactive features, designs, graphics, compilation, computer code, software, products and all other elements and components of the Site, excluding User Content and Third Party Content, is owned by DailyLife. All copyrights, trademarks, service marks, trade names and other proprietary and intellectual rights throughout the world (the “IP Rights”) associated with the DailyLife content and the site itself, which are protected by trade dress, patent, copyright and trademark laws, and all other intellectual and proprietary rights and laws. As this is the case, you may in no way modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the DailyLife Content, in whole or part, unless authorized expressly by us. You are not granted any express or implied rights, other than what is expressly and unambiguously provided here, and all rights in and to the Site and its content are retained by us.

1. Warranties, Disclaimers, and Limitations of Liability.

   1. DailyLife AND ALL OF ITS CONTENT IS MADE AVAILABLE TO YOU ONAN “AS IS” BASIS. NO WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO (1) THE FUNCTIONALITY AND OPERATION OF THE SITE, (2) THE IP RIGHTS, SAFETY, USEFULNESS, LEGALITY, QUALITY, COMPLETENESS, INTEGRITY AND ACCURACY OF THE SITE CONTENT, WHICH IS INCLUDED BUT NOT LIMITED TO THE ACCURACY OF CONTENT LISTED ON THE SITE AND (3) ANY PRODUCTS OR SERVICES THAT MAY BE ASSOCIATED TO THE SITE OR ITS CONTENT, INCLUDING BUT NOT LIMITED TO PRODUTCS AND SERVICES SOLD BY BUSINESSES LISTED ON THE SITE.    3. ALL LIABILITY FOR ANY DAMAGE OR LOSS THAT ARISES FROM YOUR USE OF THE SITE AND ITS CONTENT IS DISCLAIMED BY DailyLife. YOU USE THE SITE AND ITS CONTENT AT YOUR OWN DISCRETION AND AT YOUR OWN RISK, AND IT WILL BE SOLELY YOUR RESPONSIBILITY FOR ANY DAMAGE THAT RESULTS, WHICH INCLUDES BUT IS NOT LIMITED TO LOSS OF DATA OR DAMAGE TO YOUR COMPUTER FROM VIRUSES THAT MAY HAVE BEEN DOWNLOADED WHILE YOU WERE USING THE SITE.

   5. CERTAIN WARRANTIES, THE LIMITATION OR EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON THE LENGTH OF AN IMPLIED WARRANTY ARE NOT ALLOWED IN CERTAIN JURISDICTIONS. AS SUCH, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IF YOU DO RESIDE IN ONE OF THESE JURISDICTIONS, THE ABOVE LIMITTAIONS WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

   6. THE MAXIMUM AGGRIGATE LIABILITY TO YOU FROM DailyLife FOR ANY CAUSE WHATSOEVER, REGARDLESS OF THE FORM OF ACTION (WHETHER THIS LIABILITY HAS ARISEN DUE TO NELIGENCE, BREACH OF CONTRACT, MISREPRESENTATION OR ANY OTHER REASON), WILL BE LIMITED, AT ALL TIMES, TO THE GREAT OF (I) IF ANY, THE AMOUNT PAID BY YOU TO DailyLife IN CONNECTION WITH THE SITE IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) US $100.00.

2. Site Indemnity

You are in agreement that you will indemnify and hold DailyLife, it’s parents, subsidiaries, affiliates, any related companies, suppliers, licensors and partners, as well as the officers, directors, employees, agents and representatives of each harmless, which includes costs, liabilities and legal fees, from any claim or demand made by any third party that has arisen from or is due to (i) your use or access to the Site, (ii) a violation of the Terms of Service or (iii) any infringement by you, or a third-party using your account, of any intellectual property or other right of anyone or any entity. At your expense, DailyLife reserves the right to assume the exclusive defense and control of any matter that you may be required to indemnify us, and you are in agreement that you will cooperate with our defense of claims like this. You are also in agreement that any matter will not be settled without the prior, written consent of DailyLife. We will notify you of any claims, actions or proceedings upon our becoming aware of it using reasonable efforts.

   1. Links may be included to other websites, (each, a “Third Party Site”). Third Party Sites are not controlled or endorsed by us, and you are in agreement that DailyLife is not responsible for contents or availability of such Third Party Sites.

2. Misc.

   1. You agree that any dispute involving any dispute regarding the Site will be governed by the laws of the State of California, without regard to its conflict of law provisions. You are also in agreement to personal jurisdiction by and venue in the San Francisco County, California state and federal courts.
